1. Introduction
Version 2026.08, in force from 20 August 2026. This version replaces the version of 17 May 2026.
Welcome to TOVR, an AI-powered logistics platform operated by „АНДИМАКС“ ООД ("Andimax" Ltd.), UIC 203076382. By accessing TOVR, you agree to these B2B Terms of Use. Full company details are on the Imprint page.
We publish a version identifier so that a reference to "the Terms" is unambiguous. When we change them materially we raise the version, tell account holders by email before the change takes effect, and record the previous version's date here.

2. Description of Services
TOVR is a 'Freight OS' that aggregates market data, provides AI-driven freight chain suggestions, and connects carriers with shippers. We act as a technology provider and intermediary, not as a licensed freight forwarder or transport operator.

3. User Obligations & Integrations
• Users must provide accurate company data and maintain valid transport licenses.
• By connecting third-party telematics (e.g., Frotcom, Obs2go), you grant TOVR permission to continuously poll your fleet's GPS and availability data to generate automated load suggestions.
• You are responsible for ensuring you have the legal right to procure freights matched by TOVR on external platforms (Transporeon, TimoCom, etc.).

4. Fees, Billing, and 'Confirm Win'
• TOVR charges a commission based on loaded kilometers (e.g., €0.04/km) for successfully procured freights.
• By clicking 'Confirm Win' on an offer, you legally acknowledge securing the load.
• TOVR automatically generates a Net 14 invoice via Stripe. Failure to settle overdue invoices will result in a temporary suspension of your TOVR account and automated matching services.
• New Carrier Incentive: Eligible new accounts may receive promotional commission credits applied automatically to their first invoices.

5. AI Features & Liability
While TOVR fOS and our Price Intelligence System (Apex) strive for high accuracy, AI-generated estimates, routes, and document verifications are advisory. Users are solely responsible for final procurement decisions. "Andimax" Ltd. shall not be liable for losses resulting from missed freights, external platform disputes, or telematics downtime.

6. Governing Law
These Terms are governed by the laws of the Republic of Bulgaria. Disputes are resolved by the competent courts of Sofia.
Nothing in these Terms limits a right you have under mandatory law.

7. Data protection and the DPA
Where we process personal data on your instructions — your drivers, your contacts, the people in your mailbox — we act as your processor and you act as the controller. That relationship is governed by a Data Processing Agreement carrying the terms Art. 28(3) GDPR requires, which we will conclude with you on request. It sets out the subject matter, duration, nature and purpose of the processing, the categories of data and data subjects, our security measures, our confidentiality obligations, the rules on engaging sub-processors, our assistance with your obligations under Art. 32 to 36 GDPR, and what happens to the data at the end of the contract.
The current list of sub-processors is published at /legal/sub-processors and is the notification mechanism required by Art. 28(2) GDPR: we announce a new sub-processor there before it starts processing, and you may object.
Where we process personal data for our own purposes — running and securing the platform, billing you, improving the product — we act as controller, and the Privacy Policy applies.
